  • Refuse orders.

3. Nature of Agricultural Products

Customers acknowledge that agricultural products are natural products and inherently variable.

Product characteristics may differ from photographs, descriptions, prior purchases, or customer expectations, including:

  • Size

  • Shape

  • Weight

  • Color

  • Appearance

  • Sweetness

  • Acidity

  • Texture

  • Aroma

  • Harvest conditions

Such variations are normal and do not constitute defects.

Product images are illustrative only.

 

4. Orders

Submission of an order does not constitute acceptance.

An order is accepted only when we issue confirmation and successfully process payment.

Customers are responsible for:

  • Determining suitability for consumption

  • Identifying allergies

  • Following storage instructions

  • Following preparation instructions

To the fullest extent permitted by law, products are provided without guarantees regarding individual taste preferences, dietary suitability, or subjective expectations.

 

11. Website Use

  • Interfere with website operations

  • Attempt unauthorized access

  • Distribute malware

  • Harvest customer data

  • PUNITIVE DAMAGES

  • LOSS OF PROFITS

  • LOSS OF REVENUE

  • LOSS OF DATA

  • BUSINESS INTERRUPTION

  • LOSS OF GOODWILL

WHETHER ARISING IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

 

15. Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM ANY CLAIM SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

 

16. Force Majeure

We shall not be liable for delays, failures, shortages, losses, or damages resulting from events beyond our reasonable control, including:

  • Natural disasters

  • Weather events

  • Crop failures

  • Disease outbreaks

  • Agricultural conditions

  • Labor disputes

  • Government actions

  • Customs actions

  • Transportation interruptions

  • Internet failures

  • Utility failures

  • War

  • Terrorism

  • Pandemic events

 

17. Product Availability

Because agricultural production depends upon seasonal and environmental factors, product availability may change without notice.

We reserve the right to substitute packaging, discontinue products, limit quantities, or cancel orders.

 

18. Indemnification

You agree to defend, indemnify, and hold harmless OKAMURA KANKITSU and its officers, directors, owners, employees, affiliates, subsidiaries, successors, and agents from claims, losses, damages, liabilities, costs, and expenses arising from:

  • Your use of our services

  • Your violation of these Terms

  • Your violation of law

  • Your misuse of products

 

19. Privacy

Use of personal information is governed by our Privacy Policy.

 

20. Consumer Rights

Nothing in these Terms is intended to exclude, restrict, or waive any consumer rights that cannot lawfully be excluded under applicable laws including those of:

  • Japan

  • The European Union

  • The United Kingdom

  • Applicable United States jurisdictions

Where mandatory law grants rights that conflict with these Terms, such mandatory law shall prevail solely to the extent required.

 

21. Governing Law

These Terms shall be governed by and construed under the laws of Japan, without regard to conflict-of-law principles.

 

22. Dispute Resolution

To the fullest extent permitted by law:

  • Parties shall first attempt good-faith resolution through negotiation.

  • Any dispute not resolved through negotiation shall be submitted to the exclusive jurisdiction of the courts located in Japan.

Nothing herein limits rights that consumers may possess under mandatory consumer protection laws.

 

23. Severability

If any provision of these Terms is determined unenforceable, the remaining provisions shall remain in full force and effect.

 

24. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Refund Policy, and any additional policies posted on our website, constitute the entire agreement between the parties.
